I'm not a CEO either but use common sense.... It's clearly something that acts a poison pill for any 3rd party acquirers. It reduces the amount they're willing to pay as they won't get the tech exclusively. It's a fair deal too as that is why HGST got involved early and we wouldn't be as progressed today without them
It does puts HGST in pole position for any acquisition and the ability to pay a lesser amount than they would have if they had genuine 3rd party competition (assuming they do buy it).
