exco recommend revised sol takeover offer ..., page-45

I received my bidders statement yesterday both WSSP's and Exco's Targets Statement and the front page of the former I've never seen such large letters telling us that Exco's directors recommend that we accept the offer.
Where it says that the directors are unanimous in their decision I'm wondering if this was the case when the revised offer was made.
If a director of a company that's being sought has an interest either directly or indirectly in the company making the offer can that person vote on the offer?
