    -awarded nil of cost within 3yrs from 22/10/08 according to Executive Long-Term Share Plan Rules

    Participation in the Executive Long Term Share Plan is subject to shareholders approval each year. The Executive Long Term Share Plan currently provides for the issue of shares based on the Company achieving a Total Shareholder Return, over a 3 year performance period, at or above the 50 th percentile of a peer group of companies.

    The performance conditions, which are based on the relative ranking of the Total Shareholder Return ("TSR") of the Company to a group of selected peers, apply to determine the number of shares (if any) to be granted to the Executives. TSR is the percentage increase in a company's share price plus reinvested dividends over a given period and reflects the increase in value delivered to shareholders over that period. The peer group to which the
    Company's TSR will be compared will comprise the 50 smallest companies, other than resource companies and property and investment trust companies, within the S&P / ASX 300 Index. These companies have a similar market capitalisation to the Company.

    The TSR performance criterion was chosen as it is widely accepted as one of the best indicators of shareholder wealth creation as it includes share price growth, dividends and other capital adjustments. In addition, this criterion provides a readily obtained objective means of measuring the Group's performance against its peer group. The Company's TSR ranking at the end of the Performance
    Period, when compared to the TSR of the peer group will determine the percentage of shares originally offered which will be granted to the Executive.


    New Scheme
    ==========
    (a) Mr T D Stinson will be awarded no more than 6,562,500 ordinary fully paid shares in the Company during the Performance Period (being no later than three years from the date of approval of the resolution);
    (b) the exact number of shares that may be acquired by Mr T D Stinson will be calculated in accordance with the Executive Long Term Share Plan Rules;
    (c) the acquisition price for the shares will be nil;
    (d) any shares issued will be issued at the prevailing market price at the time of issue;
    (e) no director, associate of a director or a person whom ASX considers should be approved under Listing
    Rule 10.14 has received shares under the Executive Long Term Share Plan since the Executive Long Term Share Plan was last approved in 2008; and
    (f) Mr T D Stinson is the only person entitled to participate in the Executive Long Term Share Plan for the
    purposes of Listing Rule 10.14.
    (g) Shares offered will be issued no later than 21 October 2012.

    The number of shares that the executive actually receives depends on two performance hurdles, as set out below:
    (a) 50% of the shares offered will be issued depending on the performance of the Company relative to a group of selected peers (being the 50 smallest companies by market
    capitalisation (other than resource companies and property and investment trust companies) within the S&P / ASX 300
    Index. The peer group is ranked in terms of Total Shareholder Return ("TSR"). TSR is the percentage increase in a company's share price plus reinvested dividends over a three year period commencing on 1 September 2009 and ending on 31 August 2012 ("Performance Period").
    (b) 50% of the shares offered will be issued if the Company achieves earnings in excess of 1.5 cents per share for the year ending 30 June 2012.

    CONCLUSION
    ==========
    comparing like for like criteria, Terry managed to get himself a 100% higher possible share allocation/bonus with the possibility of obtaining even more if
    1.5c/share earnings is exceeded by 30 June 2012.

    oh well... guess if he gets his complete allocation, every other shareholder should benefit too in terms of higher SP
