I as far as I understand it it's the regulatory & legal costs of making a full offer to all SH's that is the problem and that's outside the company control.
Are the Directors subscribing to Tranche 2? Must admit I didn't look at that detail.
Big kicker here will be landing the right partner without giving too much away, particularly given the CapEx their planning. If they can pull that off I'd be happy to see them get a fair cop.
