The first is that Eden fail to arrange financing. An interesting aspect of this possibility is that the longer Eden take to announce the financing, the more shares they can buy at below the offer. Any hint that they are struggling to get financing might rattle quite a few into selling. Not of course suggesting that this may be done with that deliberate strategic intent.
