You are on the right path...but how about this scenario...

Sell down your holdings, thereby supressing the price and preventing the company obtaining the required funds from the options money...then you negotiate a placement at a price well below your average sell price, to provide the company twith the funds they require.

1. You make instant profits.

2. You avoid dilution of your shares due to the options conversion.

3. You pick up a decent fee for your troubles.
