I've now researched it- the 2010 Extract annual report lists seven directors of which three- Steve Galloway (non-exec chairman), Inge Zamwani-Kamwe, John Main are considered by the board to be independent.
Jonathan Leslie (as MD/CEO), Neil Maclaclan, Alastair Clayton (representing minority shareholders ie Kalahari) are not considered to be independent, along with Ron Chamberlain (because of previous management post with Extract).
So if I have understood this correctly- three of the seven-person board will review the China bid for Kalahari, unless RC is considered independent for this purpose which would make it four.
Two of the directors- SG and I Z-K- are Namibian so effectively its Namibia's view which is going to be decisive here.
