    There is a binding JV in-place between AGU and PDY, and the so called proposed takeover by FEL not only doesn't acknowledge that JV but offers no plan as to how it intends to incorporate that JV in the bid, nor does it offer a plan for compensation to AGU shareholders.

    From that perspective the bid is flawed.
