    Another fact is that someone can make any offer they want to the SPS holders, and the SPS holders can decide if it is in their interest or not.

    Many a takeover / offer is qualified by the terms "not fair, but reasonable" by whoever is undertaking an independent assessment. It is very easy to think of a range of scenarios that cold qualify as this or SPS.
