    thanks for your interesting research. Funny how the wishes of the big end of town seem to drive all these corporate "reforms".

    I cannot ever recall a Scheme of AGM or EGM where valid proxies were not counted.

    Every Scheme I have been involved in have allowed voting by Proxy.

    In fact, it would be discriminatory if proxies were not counted, because small s/h living in remote areas or other States, would not get the opportunity to vote, given the cost and time for travelling to the meeting involved.

    Also the Scheme meeting would be organised by ESG, not STO, and I could not envisage ESG disenfranchising thousands of small s/h. They would be pilloried (?) and probably sued.

    When the time comes. ESH s/h should take great care to properly execute their Proxy, as proxies incorrectly filled out become invalid (and this is quite comnmonplace).
