The disclosure requirements relating to a takeover proposal are covered by ASX Listing Rule3.1, as represented below.

The second dot-point of Rule 3.1A.1 is relevant. Disclosure of information is not required if the “information concerns an incomplete proposal or negotiation”. (page 4)
Quite simply, disclosure is required only “when the parties enter into an agreement to implement or give effect to the transaction”. (page 33)
