If they want to get on board its their choice.
It all helps but I am sure we will make the numbers anyway. I would prefer people who want to be part of something special that should have been done a while ago.

The proper role of Board is to look after interests of the whole company and the interests of ALL shareholders, and to OVERSEE the management of the company.
Independent directors do not represent a majority of Board
In fact, I believe the Chairman usually has a casting vote (not sure - may depend on Constitution of Icon)- if so, potentially conflicted decisions may be at the mercy of directors who are employees of the company and who may have a conflict of interest between their roles of Directors and their role as an employee.
Having a "lead director" assume a role of "now you see it, now you don't" Chairman, is unworkable and unprofessional.
A joint role of Chairman and MD is totally unacceptable to the ASX and ASA.
RJ is largest shareholder and could possibly have a conflict of interest, and an independent Chairman would be better able to steer around any potential conflicts. eg whether ICN may or may not consider a rights issue for example).
At the EGM we shareholders should push for:
proper separation of roles of Chairman and MD
there should be a Chairman who is Independent of the management of the company
Icon should have a majority of Directors who are Independent of the management of the company thus we should go for the appointment of:
A new Chairman who is independent of management,
A new Independent Director with very much demonstrated CSG experience to join Board
This would give Independents majority of Board
