You may wish to read up a little more about Mk's past record when it comes to taking a position, followed by a takover or exit.
They are at the end of the day a hedge fund.
They will absolutely exercise the option if it saves them 26% on every bond held....to convert.
Again, not too sure if it would be a classed a "non approval event"...but it sure smells like one.
