I also consider a range of factors including (but by no means limited to) whether:
- directors, executives and key management personnel are fit and proper persons e.g. adverse commercial, legal or personal history, or misalignment of core values;
- director, executive and management compensation is proportionate (to the size of the business) and contingent (at least in substantial part) on the successful delivery of approved initiatives which add enduring value for shareholder;
- the quality, accuracy, completeness and timeliness of engagement and communication with shareholders;
- the business has demonstrated success planning and delivering outcomes on time, on budget, to agreed scope and quality;
- the business has demonstrated success in managing adverse events e.g. project delays, business continuity, succession, sovereign risk etc., including effective stakeholder engagement and communication; and
- the nature of the relationship between the business, its investors, its creditors, and the office bearers and investors of its creditors.
