FP has nothing to do with the VIL merger with PASS. The percentage split is pretty much the same after the merger as before. If VIL didn't merge with Pass then the SP would be much lower than where it is currently, hence in my view it is a positive that it goes ahead.
It would be interesting though to understand why GGP pulled out.
