    As a lawyer will tell you, in common law, there are 5 elements to a contract between 2 parties.
    1. Offer - one party has to make an offer with the price for the item on supply or sale
    2. Accept - The other party has to knowingly and clearly accept the offer before the contract is activated
    3. Consideration - There must be a payment (consideration) in part or full to seal the commitment. (a deposit)
    4. Intent - Both parties must show clear intent to the contract which is clearly stated to both parties. (The contract agreement - terms and conditions)
    5. Lack of overhanging conditions - You cannot have a clause like "if I win the lottery" or "if some particular event happens" in the agreement.

    The terms and conditions were not clearly stated, therefore there is no binding contract.
