I just re-read the amendment again and I too got caught at the wording of this section.

"There can be no assurance that definitive documentation for the Potential Transaction will be executed on terms acceptable to us, on terms substantially consistent with those contemplated in the Agreement, or at all."

After reading it again I believe the deal is done, and final documentation is being processed.
The warning is obviously legalese to cover their asses.
Obviously my opinion.
I see this as a positive and am glad they updated the market when expected.
