Firstly, the sentence isn't clear. But you seem to be saying that BIG will offer Dipsly 515m shares in BIG using a nominal value of $3.30 per BIG share (515m x $3.30 = $1.7b).

Why would Dipsly want that?
And why would BIG want that?
And how is issuing 515m shares not dilution?
