I think you have a brain explosion from all the misinformation from cvr, who I think is A Silberstein of AGS himself. AGS Capital is a 2 person company with 3 virtual offices-Allen and Morris. Probably brothers.

EVM still lists the AGS funding in their Qtrly 4C but drawn nothing from it. If they publicise the agreement, we should know why they paid 4m shares and got nothing. My guess is 25% above the commitment SP in order to get funding. In EVM's case, that would be 8.5c.

In EDM's case, thanks to the local solicitor who attached the agreement, we manage to know how AGS Capital operates.

As Matchbox20 rightly pointed out, EVM paid 1.5% upfront fees whereas EDM paid 5%. Both gets nothing in return. But EDM paid way too much even if it is genuine.
