    NWE passed at the 2012 AGM a resolution into the company's constitution that any takeover had to have a 70%(I think) approval vote from the shareholders before being allowed to proceed.
    From that I would believe that the management are not setting the company up for any takeover but have tried to put things in place to impeed it.
