Hi William. I willanswer your third question now, as it’s straightforward. I need to think aboutyour Q 1 and 2.

Listed companies are requiredto give at least 28 days' notice of their agm.. PGH agm is 14 November thus notice is required by 17 October. NB however, s249J says that a notice is deemed to be sent (a) if it is sent by post--3 days after it is posted; or (b) if it is sent by means of an electroniccommunication --on the businessday after it is sent; Since some shareholders probably still opt for a NOM by post, I think that means their NOMs must be posted 3 or 4 days earlier. I expect that the email NOMs would be issued at the same time, rather than be delayed until the last minute.

TheNOM must contain a resolution to vote on the Rem Report. However, as far as I can tell there is nothing to stop RG voting his interests on that resolution. (I can’t find anything in the ASX Listing Rules that requires his vote to be excluded, as it would be if for example there was a resolution about a special payment to him or shares issued to him). Thus I expect RG will be allowed to vole his 88% on the Rem Report, which means that it will pass even if everyone else votes against it. Hence it’s impossible for a “strike” to occur. We can vote against as a protest, but it won’t have any practical effect!
