It is based on the director having sufficiently material non public price sensitive information at the time.
Ie. If Tim knew the mining license had been approved but the general public had not been notified at the time of the share offer.
I believe if news is not sufficiently materialistic it would not exclude trading ie. Early contract talks that have not sufficiently progressed yet to be reasonably considered concrete/materialistic
