"(e) Free Carry – Quantum will continue to fund the Projects through to completion of a
bankable feasibility study, at which point if AKM decides not to contribute
proportionately, its interest in Newco will dilute by an industry standard formula, to a
minimum 15% and a 2% net smelter royalty.
Mr Avi Kimelman, Managing Director of the Company holds a relevant interest in
approximately 22.5% of the issued shares in AKM." (AKM is a private company)
