Having IP to protect is a good thing. Norwood have spent millions on developing technology, much of it now defunct of course. It begs the question, what have Norwood been developing lately that is protected? If you don't have patented technology then there is nothing stopping anyone with means from copying you.

Why would you buy Norwood for $20m when you could develop their tech for a tiny fraction of that yourself? Why would you sign a deal them if you had the means to create the software yourself?

Now obviously not all technology has a patent, and your inventions, like computer code, a book or photos you take are protected by copyright. So Norwood has that, just no protected original ideas. Their moat is a raindrop puddle.
