I wouldn't be so certain that the binding agreement comes before the CR. Many of these types of deals I've seen in the past have the CR first as a prerequisite to the binding agreement. I suspect the shareprice action is as a result of people betting on this to be the case.
Could be wrong of course... Time will tell.
