You may not notice there is a conditional clause in the OTA, actually the OTA with PLL should be called a conditional OTA. One of the conditions is Sayona and PLL jointly agree upon a chemical plant. So the above sentence should be revised and reframed as "it is not a offtake agreement unless Sayona and PLL jointly agree upon a chemical plant". Maybe that is why PLL claims the shipment will happen in Q3, PLL knows they won't get any SC until they agree with a carbonate chemical plant by September?
