They may have an option to buy subject to due diligence or first right of refusal. I would be very surprised and disappointed if they purchased Amos and then tried to work out whether they could transform it from a paper mill to a hydroxide conversion plant. So the answer is technically correct even if their intention is to purchase subject to dd.
