In my experience over the years including being involved with large companies, I have found that it is more good management than director input that makes for a successful company. Good management can usually manage a bad board but a good board usually can't manage without good management.
Remember that management is there 24/7and focus on one company. Boards seem to be there once a month and have interests in other companies.
I'm a director of a public company that was badly let down by bad management. A change of management and we are back on track. The first one was there for the money only. The current one is there because he wants to get the product to market, is technically capable, accepting shares as part payment and working without supervision to a great degree.
