Buckler with 100M shares in SYA ... thats 100M/10B or about 1% = not material or substantial
Buckler with 100M shares in 1MC ... thats 100M/1.6B or about 1.6% = not material or substantial

Your reading of Box 2.1 ... how are you interpreting "Group Member"?
.... SYA and 1MC are not a "group" by any stretch of the imagination (even by SYA HC stds .... surely)
... and if it came to that JB would have to "recuse" himself from any decision that might have a conflict of interest between SYA and 1MC
... for example could an OTA where pricing/volume/term is set be that (I'm purposefully choosing that for similarity to another JV ... but 1MC is publicly listed and AFAIK the JV is not an incorporated entity with discrete shareholders)

If SYA shareholders want an EGM to oust BoD members because they are not independent then you've got to hit the nail on the head and to me it seems like the nail is still stick up but lots of holes in the Fibro.
