There is a big difference between having an American subsidiary than to becoming an American company.
Nearly everything MergeCo owns is outside of the USA.
I don’t think they are about to put all of that at risk by becoming American.
If that was to be the case, I would prefer they sell all of the US assets and concentrate in dealing in jurisdictions that treat them well.
