Labelling them as visionaries suggests the idea of the merger was not an internal decision by either SYA or PLL.

I doubt they needed an outside visionary with regards to merging, it was just common sense, but getting it done requires outside help from consultants and others who have more specialist knowledge . Going by LD's comments Paul Crawford was heavily involved in the process of getting it over the line, so much for directors sitting twiddling their thumbs while gathering directors fees as some like to promote.

Things are always going on behind the scenes that we will only become aware of if it results in a material event and talks can go on for a very long time before that happens.
