I guess it is equally fair to say that they do create the resolutions to award themselves performance shares (shareholders are unable to present a resolution for awarding "loyalty" shares to themselves).
I am opposed to BOD getting more than other shareholders in way of extra benefits for merely doing what they get well paid for - and that applies to any company.
