General Meeting Resolution Discussions, page-4

Resolutions 8(a) - (d) - Approval to Issue Director Options to Directors - Ariel King, Cameron McLean, Simon Coxhell and Donald Garner.

I am completely baffled by the audacity of this resolution and more so by the reasoning!
~ A definite NO from me .......

GPP/GNM since McLean was appointed;
~ has seen a depreciation of shareholder wealth by circa 75% .......
~ has raised circa $14,000,000 in funds
~ consolidated the SOI (10/1 in 2019) net shares post consolidation were circa 230,000,000
~ with the continual raising of funds, the SOI has increased back over 2B (after the current placement) and is now being consolidated again
~ has failed to progress any project that the Company have acquired
~ comments from the NSW tenement grant announcement, quote " New REE signals a strategic diversification into critical minerals and metals."
~ comment from the Finland Li acquisition, quote " Following GNM's recently granted rare earth tenement in NSW, the potential to conduct further investigations on the Projects which share similar analogies to that of the Cinovec Deposit is exciting and an ideal start to battery minerals exploration."

++ Another one of them not knowing whether to laugh or laugh harder moments .....
++ GPP released an AGM (2018) presentation (McLean was Managing Director) whereas identifying Battery Minerals being in high demand for decades ahead, extolling the Company's vision and providing shareholders an outstanding opportunity to take part in these key global metals of the future ~https://www.asx.com.au/asxpdf/20181130/pdf/440t8byhjmwl72.pdf

*** Here we are, doing a 5 year full circle and chasing battery minerals again, whilst gold is enjoying a sustained surge US$2,020 oz (A$3,000oz)

Coxhell ~ antimony/antimony/antimony and yet, he is on the board of GNM and is involved in the decision making that has "as above" seen shareholder wealth destruction, and the company promoting battery minerals again!
~ During the GNM presentation / webinar October 2021 there was a mention of once the company conclude the JORC for Camel Creek "they will moving swiftly into a scoping study at Camel Creek." and "we have a number of milestones in early January,assays, scoping study, resource estimate at Camel Creek ....https://www.greatnorthernminerals.com.au/index.php/2021/10/22/webinar-update/

Garner, took up his role in November 2022 - some 6 months ago.
King was recently appointed and also bear in mind that he will receive 34,000,000 Consideration Shares on completion of the Finland Acquisition

Explanation Memorandum 10.6 Technical Information required by Listing Rule 10.13 and section 219 of the Corporations Act.
10.6(h) the purpose of the issue is to incentivise and reward the Directors
~ seriously, reward for?
** I had to confer with my tech head son-in-law as I was struggling with the ""technical information jargon"" of incentivise and reward Directors!
