I think the management are aware of the deal that Iain and others got with the takeover of NWE and are also aware that such a deal is not going to be on the table from WDS or any other suitor of PCL shares .... so to ensure that they get the maximum dollar outcome for themselves that they need to have all the share options converted before the bidding commences.
Jibby's point of the CGT trigger is also front and centre too IMHO.
