My feeling is also along your lines JC. As well as the national M&A guidelines, the hedge funds (who have an interest in this scheme will have their l/eagles knowledgeable in cross border transactions scouring for angles). This will be very interesting, and possibly a benchmark case, so will be scrutinized heavily.
Either way, leaving the SP aside, Fms is in a good position. Quality product in the ground which will be worth more than the T/O price when developed(in time) or a cash settlement in the near future.
