ARGUMENT 1:
Joseph Santamaria, QC, representing BrisConnections, told Justice Ross Robson the company believed AIS had improper reasons for calling the meeting and asked Justice Robson to cancel it.
Mr Santamaria said Mr Bolton's intentions were misleading because he failed to inform other shareholders of their requirement to pay the instalment, even if the trusts were wound up.
ARGUMENT 2:
"The constitution provides a mechanism to extinguish the instalment payments, and in the case of a wind-up the manager [BrisConnections] is legally bound to act in the interests of unit holders," said Alan Archibald, the QC acting for Deutsche.
"The manager is misleading its members. Unit holders have been told … simply that 'you will have to pay $2, full stop'. That is inaccurate."
