can't believe this dead-horse is being thrashed about again.... it's pretty simple isn't it?

Netflix have rights to distribute/sell content in the US (or the country they have purchased said rights for). By knowingly allowing customers to access that content from outside the US, they are breaching their content agreement with the rights owner... simple.

the major issue is for the rights holder as they are missing out on being able to commercialise their content in international territories. this is why content owners are pressuring Netflix to do something about it.

the recent WB/Netflix deal for Gotham included international territories... do you think it was Netflix who drove this outcome or WB?
