The following is my opinion:

In addition to what are in my opinion clear examples of breaches of the duty of disclosure by not informing the ASX of the particulars of the legal action against MTC regarding it allegedly being over the resource body we have drilled at Cancet, as per court documents detailed on this thread, seen by many participants and available to all from BC Courts, I consider the alleged failure to comply with the terms of the sale contract of those claims under legal challenge, by simply making a tiny anniversary payment and releasing Schuss's shares from escrow by the date stipulated on the contract to be 'failing to discharge the duties of directors with reasonable care and diligence'. This could potentially open up Directors to potential liablilty to compensate the company and/or additional civil penalty provisions. Either way I cannot see how their directorships can remain tenable going forward. I hope shareholders take this into consideration in the General Meeting we are considering calling to spill the Board and elect new directors.
