That is a great point you've made. Even if Kirkland take the 30% clawback they still have to pay around $9-$12mil to get it, a nice pay day for PNX. So a good PFS comes out and PNX should be worth at least 3 times it's current market cap.
It all comes down to how good the PFS is. So you have have faith in the resource results to date that have been presented..... and the ability of management to put a PFS together. Then this is very undervalued, regardless of the deal with Kirkland.
