    You see this is the thing 94% of SH's support the deal (including MH) so the remaining SH's will be invested in an unlisted Gridcomm not the SPV and will be out in the cold. The other D's of Gridcomm will be forcing the 6% to sign by saying they will not have any say in any management matters etc...so whomever it is is very stubborn and will alienate themselves from management....silly move IMO!
