Yes it is also a restriction on buybacks. It would make sense for the management to negotiate with the remaining earn out participants to release these clauses as it is most unlikely the EBITDA targets required for the earnouts to hit will ever be met. So if they still own shares there is more chance of value add if company is not restricted to dividend payouts or buybacks IMO.
