Hi it is an incentive for management/directors to take an interest in the share price. if the share price improves they will get free shares. The higher the share price the more free shares they will get. If ncz becomes 1$ per share before 2022 that is right there 2 million $ worth of free shares for mr walta.
elon musk is known to use performance rights to incentivize himself to look after the share price performance and it did work for tesla he did everything he could to destroy shorts and improve the share price of tesla to get his free shares.
