Fellow shareholders. Sadly, I am re-raising this post to commence action under Corporations Act s249N to resolve some of the governance issues that are holding back GRR. My reasoning follows.
I accept stock price instability because of market volatility, but I do not accept instability because shareholders are left guessing/speculating as to what our own board is doing.
Given the financial position of GRR, the 2c dividend is not reasonable while unsupported by any explanation. This is because GRR now has cash approaching market cap. So either the other assets/enterprise are of zero value, which is clearly not true, or the market is seeing the Board as untrustworthy with the retained cash. Plus the Board has a blemished record in terms of use of surplus cash. Thus there is a governance issue here.
From the response to my original post, I am confident we have the numbers to straighten this out.
For nay-sayers, sorry this isnt on the "likes" so hold your tongues. The legal threshold is #100 or 5% which is apparently present. For those that may again try to shout down properly addressing governance issues in a civil manner, please remember that the alternative is a private complaint to ASIC.
I will correspond with the Board. If that does not bring forth change I will formulate/circulate draft shareholder resolutions with s249N petition
I am opening this post to intelligent input. Please think carefully before you post.
The issues I am dissatisfied about, and I believe can readily be addressed, are as follows:
1. Failure to pre-announce and adhere to dates for key reporting;
2. Failure to announce to market critical information as to dividend and capex policies and application;
3. Failure to report on forward dividend and capex plans;
4. Communication to private individuals of inside information re 2 and 3 above, resulting in unfair market distortion;
5. Failure to adhere to or correct communications per 4 above when published.
6. Failure to report on and rationalise dividend amount relative to points above.
7. Absence of viewable registers of potentially conflicting interests of directors and officers.
Please contribute any further complaints.
Also I would like to hear of any nominations or consents for fully independent directors, with strong credentials in corporate governance. FYI I am former public company director, company Chairman and current litigation lawyer with shareholder opression cases. This includes international share and transfer pricing capers. So I can see what is needed here, though I am not available. For those that previously suggested that I was looking for a job, shame on you and your lack of foresight for the interests of yourself and the good people that post on HC.
