No expert here@Cpago55,

Truely independent directors are hard to find in my opinion but we supposedly have two in Chair Mike Edwards and James Croser.
Both should be voted off the board at the AGM if the come up for re-election to the board.
My reason is both were part of the share placement strategy ahead of mining some gold to protect shareholder wealth.

In so far as sale of assets or firesales etc ASX listing rules require related party transactions to be voted on by ordinary shareholders if the transaction is not at arms length is my understanding.

The company constitution gives the directors the power to sell company assets but ASIC is interested in related party transaction also I understand.

So lets say FMR are sold Burbanks FMR is clearly a related party (shareholder with greater than 5% of SOI) ASIC and/or the ASX may require a vote of shareholders excluding FMR votes to ratify the sale.

This only my understanding and I probably missed some parts of the way things work.
