    Charles Lew has a Bachelors/Honors in Finance and Accounting plus Management science. Would he really accept such a bad deal and say "yes we will pay you the $150M cash back plus high interest in 3 years despite the fact that we will not be cash flow positive by then".. really? He holds close to 7M shares alone. The whole point of this deal is to get cash now while saving SP for further cap raise.

    The more likely scenario is that come 11Oct25 HAS repays Wyloo with a substantial holding in the company. They will receive ~50M shares at cost of $5.50 at significant dilution to existing shareholders and their position opens up 95% in the red! Calling in this kind of note back into cash is rare, @jv123 has a solid point. If that was the term of the agreement, it would need to de disclosed as "notes are convertible into ordinary shares OR cash" .. It says nothing about conversion into cash or the like, only into shares. Management will be liable to criminal prosecution by shareholders if company has to cough up $220M in 18 months as a result of this deal. IT wont happen.

    If anyone got shafted on this deal it is Wyloo. HAS effectively got $150M in exchange for 15% of companies shares at today's prices, which is $9M. This could all change in 12 months for Wyloo, either better or worse. Alternatively, the 150M notes could each be worth $5.50 in which case HAS gives Wyloo 150M shares, or ~40% of current SOI, or 25-30% controlling interest post issue. This is because it says 150M notes issued at $5.50 per share. That is HUGE dilution for existing holders. Redemption of loan into shares is the whole point of this deal.

    I actually admire your effort to cast doubt on the stock to gain a lower entry price, I am actually impressed because it is so covert and educational at the same time! I have learnt so much from you on multiple stocks. Thank you.

    You can also see that HAS welcomes Wyloo as an investor not lender! So, unless HAS management are eager to cosy up to bubba on cell block 19, they will ensure they have not substantially misled investors with this deal. It guarantees dilution, but it is dilution at $5.50 per share, not $0.32 per share.
