You asked a lot of questions there and I can tell you "how interrperted the anns".
a) NNAM and DEG already had a binding HOA agreement (15MM for Indee by July 2018) and are simply adjusting Term Length and Settlement.
b) NNAM has to get regulatory SSA approval but both expect this by end of 2017. (don't expect a price move upon execution - assumed)
c) Regardless of settlement date total payment not to exceed 14.9 MM. Only 2018 mandatory payments in 2018 will be 100,000 signing extension fee plus 2 MM by July 24, 2018. (assumes SSA in signed 2017)
Andy B should still have Kirkland cash available to pay this.
d) The 3 MM in shares is great for us because the higher the share price goes, the less shares go out the door. Good job on this clause. By Jan 2019 the VWAP will be much higher.
e) Couldn't find any documentation to see if Kirkland has any anti-dilution rights on their 5MM placement. Probably. Who knows when they decide to execute their options that are good till Nov 2019 and almost in the money.
