Response to your 3 paras:

1) No VA is the CMR representative on JV committee and takes on management role, directors have no authority, still have obligations under CorpsAct to shareholders only.

2) GT has been conflicted from moment he lent money, most expensive board position in OZ! He won't do anything on position as conflict has gone since VA appointed, see above.

3) Board has no say in running of CMR or DOCA or JV, only after DOCA is terminated do their roles come back to full responsibility.
