They can claim whatever they like, won't get up if JV wording is standard in OZ JV agreements, so my money is on just an ambit claim. If it had any merit VA would flag it as a contingent liability, he hasn't even gone that far, just dismissed it.

Also keep in mind HNC DOCA did not take this into account so further proof of it being an ambit claim.
