Agree it needs more clarity. The 12m shares issued for working capital are in addition to the 70m they are intending to offer in the public offering and dont seem to be counted anywhere in their table. A further 12m options (exercisable @3.25 cents) are being issued so effectively they are issuing 24m shares at an average price of 3.625 (assuming all options are exercised and why wouldn't you if the deal goes through and the share price stays up).
I cant see how they can expect to raise $10m from issuing 70m shares unless the share price appreciates considerably from here or they are intending a share consolidation (not mentioned).
Not holding but watching and waiting for more info.
