Is a stockbroking firm supposed to tell you of their placement fee before you pay them for a placement and where could I find out where this law/policy is written?

Also if a company issues you notes, ie redeemable unsecured notes but never sends you the terms of the notes is this a breach of their duties and where can I find more info on this?

I beleive both of the issues above are correct but am having problems trying to find out where to locate these rules.

Any help would be greatly appreciated.
